Terms of service
Version version · Effective effective date
These terms are an agreement between legal entity name (ABN ABN), which provides Monty (“we”, “us”), and the organisation that uses it (“you”).
The short version
- You can create an account and set up your organisation, and Monty opens once it has a plan.
- Plans renew monthly or yearly until you cancel. You can cancel any time in Plan and billing.
- We’ll give you at least 30 days’ notice of a price change, and you can leave without penalty.
- Your data is yours. If you stop paying, you can still read and export everything.
- Your rights under the Australian Consumer Law aren’t affected.
1. About these terms
1.1 These terms apply when someone creates an organisation in Monty, accepts these terms, or uses Monty. If you accept them for an organisation, you confirm you’re authorised to bind it.
1.2 Our privacy policy forms part of this agreement. If we sign a separate agreement with you (for example for Enterprise), it takes priority over these terms where they differ.
1.3 Monty is for organisations, not for personal or household use.
2. Your rights under Australian law
2.1 Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these terms excludes, restricts or changes any right or remedy you have under the Australian Consumer Law or any other law that can’t be excluded.
2.2 These terms apply to the fullest extent the law allows.
3. Your organisation and its people
3.1 The person who creates your organisation in Monty is its first owner. Owners decide who else can sign in, and what each person can see and do, through roles.
3.2 Each person must have their own sign-in and keep it secure. Tell us promptly at support email if you suspect someone has used an account without permission.
3.3 You’re responsible for what people do in Monty under your organisation, and for giving accurate information when you sign up.
4. Before you have a plan
4.1 Anyone can create an account, and set up a new organisation, but nothing in it opens until you choose a plan or agree one with us.
4.2 If your subscription ends, your organisation becomes read-only: everyone can still see and export everything, but nothing can be changed until you choose a plan.
5. Plans and fees
5.1 Our plans and prices are on our pricing page. Prices are in Australian dollars and exclude GST, which we add to your invoice.
5.2 Starter is a flat fee. Growth is charged per person in your workforce: the active people in your organisation, not the people who sign in. We keep that number up to date as people join and leave. An increase is charged for the rest of the billing period, pro rata. A decrease applies from your next invoice, without a credit for the current period.
5.3 We charge your payment method, through our payment provider Stripe, at the start of each monthly or yearly billing period. You can update your card and see your invoices in Plan and billing.
5.4 If a payment fails, we’ll tell you and try again. If it’s still unpaid number days after we tell you, your organisation becomes read-only until it’s paid. We won’t delete anything because a payment is late.
5.5 If you think we’ve charged you incorrectly, tell us. You don’t need to pay the disputed amount while we look into it, and we’ll refund anything charged in error.
5.6 Enterprise plans are agreed with us directly, on the terms we agree.
6. Price changes
6.1 We may change our prices for future billing periods. We’ll email your organisation’s owners at least 30 days before a change applies to you (and for yearly plans, at least 30 days before your renewal date), with the old and new prices.
6.2 A price change never applies to a period you’ve already paid for. Increases will not exceed cap, e.g. CPI or documented cost increases in any 12 months, unless a change in law or tax requires more, in which case we’ll explain why.
6.3 If you don’t accept a new price, you can cancel before it applies, without penalty.
7. Renewal and cancelling
7.1 Your plan renews automatically for another month or year, as shown when you choose it, until you cancel.
7.2 For yearly plans, we’ll email a reminder at least number days before renewal, with the renewal date, the price and how to cancel.
7.3 You can cancel any time from Plan and billing in Monty, or by emailing support email. Your plan ends at the end of the period you’ve paid for, and your organisation then becomes read-only (clause 16).
8. Using Monty properly
8.1 You must not, and must not let anyone else:
- use Monty unlawfully, or to infringe anyone’s rights, including their privacy;
- try to get into another organisation’s information, or test or break Monty’s security without our written permission;
- upload malicious code, or overload Monty with automated requests beyond what normal use needs;
- resell Monty or give access to people outside your organisation, except as Monty allows (such as share links).
8.2 If we think you’ve breached this clause, we’ll tell you what the problem is and give you at least 5 business days to fix it before we act, unless there’s a serious or urgent risk to Monty, other customers or anyone’s information (clause 15).
9. Your data
9.1 Your organisation owns the information it puts into Monty. You give us permission to host, copy, process and display it only to provide Monty, support you and comply with the law.
9.2 We don’t sell your data, use it for our own marketing, or use it to train AI models.
9.3 We keep each organisation’s information separate from every other organisation’s, and protect it with reasonable security measures appropriate to workforce and pay information, as described in our privacy policy.
10. Information about your people
10.1 When you add information about your people to Monty, you’re responsible for having the right to do so, and for giving them any notice the law requires. Add health information or other sensitive information only where you have a lawful reason to hold it, and keep it in the restricted document categories.
10.2 We handle that information only on your behalf, to provide Monty to you, and as our privacy policy describes. Our team won’t look at it unless you give us access from Settings, for the time you choose. That access is read-only and every page we open is listed for you.
10.3 If we become aware of a data breach affecting your information, we’ll tell you without unreasonable delay, and within number hours of confirming it, give you the information you reasonably need, and help you meet your own obligations under the Notifiable Data Breaches scheme.
11. Ask Monty
11.1 Ask Monty is an optional assistant that uses artificial intelligence from Anthropic. It can see only what the person asking can see.
11.2 Ask Monty can be wrong. Check its answers before relying on them. It never changes anything itself: it can draft a change, which a person must review and apply.
11.3 We don’t use your questions or Monty’s answers to train AI models, and our contract with Anthropic doesn’t allow it to either.
12. Monty’s figures
12.1 Monty calculates figures (costs, FTE, budgets, forecasts and scenarios) from the information and settings you give it, and shows where each input came from. Check that information is right before you rely on a figure.
12.2 Monty is a planning tool. It doesn’t run payroll, and its figures aren’t financial, tax, legal or employment advice. This doesn’t limit clause 2.
13. Changes to Monty
13.1 We improve Monty regularly. If we plan a change that materially reduces what your plan includes, we’ll give you at least 30 days’ notice. You can then cancel, and we’ll refund the unused part of any fees you’ve paid in advance.
13.2 We aim to keep Monty available at all times, apart from maintenance we tell you about in advance and events outside our reasonable control.
14. Intellectual property
14.1 We own Monty and everything in it, apart from your data. We give you a non-exclusive, non-transferable right to use Monty for your organisation’s internal purposes while this agreement lasts.
14.2 If you give us feedback, we can use it to improve Monty, without payment and without identifying you.
14.3 You must not copy, reverse engineer or decompile Monty, except as the law allows.
15. Suspending access
15.1 We may suspend access to Monty only if we reasonably believe its use is unlawful or poses a serious security risk, and we need to act urgently. We’ll tell you as soon as we can, explain why, and restore access once the problem is fixed.
15.2 We’ll limit any suspension to what’s reasonably necessary, and we won’t delete your data because of it.
16. Ending the agreement
16.1 You can cancel at any time (clause 7).
16.2 We may end this agreement by notice if you materially breach it and don’t fix the breach within 14 days of our notice, or immediately for a serious or repeated breach of clause 8.
16.3 We may also end it for any reason with at least 60 days’ notice. If we do, we’ll refund any fees you’ve paid for the period after it ends.
16.4 You may end it by notice, and we’ll refund fees paid for the period after it ends, if we materially breach it and don’t fix the breach within 14 days, or if you don’t accept a change under clause 6, 13 or 20.
16.5 When your plan ends, your organisation becomes read-only: you can still see and export your data at no charge. An owner can close your organisation from Organisation details. It becomes read-only at once, renewal stops (the current period isn’t refunded), and we delete its data 30 days later unless an owner reopens it, except where the law requires us to keep it. Every owner is told by email. We never hold your data back over a payment dispute.
16.6 Clauses that by their nature should continue, including 9, 10, 14, 17 and 18, continue after this agreement ends.
17. Liability
17.1 Monty is not of a kind ordinarily acquired for personal, domestic or household use. So, subject to clause 2, where it is fair or reasonable for us to do so, our liability for a failure to comply with a consumer guarantee is limited, at our option, to supplying the services again or paying the cost of having them supplied again.
17.2 Subject to clauses 2 and 17.4, each party’s total liability to the other under or in connection with this agreement in any 12 months is limited to the greater of the fees you paid or were payable in the 12 months before the first claim, and dollar amount.
17.3 Subject to clauses 2 and 17.4, neither party is liable for the other’s lost profits, revenue or goodwill, or for loss that does not arise naturally from the breach. The cost of restoring data from backup, and of notifying people affected by a data breach we caused, are treated as direct losses within the limit in 17.2.
17.4 Nothing in these terms limits liability for death or personal injury, fraud or wilful misconduct, a breach of confidentiality or of clause 10, infringing the other party’s intellectual property, your obligation to pay fees, or anything the law doesn’t allow to be limited.
17.5 A party’s liability is reduced to the extent the other party caused or contributed to the loss.
18. Confidentiality
18.1 Each of us must keep the other’s confidential information confidential, and use it only for this agreement. We may share it with our staff, advisers and service providers who need it and are bound to keep it confidential, or where the law requires.
18.2 This doesn’t apply to information that is public through no fault of the receiving party, already known to it, independently developed, or lawfully received from someone else. Nothing here stops anyone making a protected disclosure under whistleblower laws.
19. Complaints and disputes
19.1 If you have a complaint, email support email. We’ll acknowledge it within 2 business days and aim to resolve it within 10 business days.
19.2 If we can’t resolve it, either of us may suggest mediation before going to court, for example through small business dispute service. This doesn’t stop either of us seeking urgent relief from a court, or you contacting a regulator.
20. Changes to these terms
20.1 We may change these terms only to comply with the law, reflect a change to Monty or to our providers’ terms that affects you, fix errors, or respond to a security or misuse risk.
20.2 We’ll email your organisation’s owners a summary of any change at least 30 days before it applies. A change that significantly reduces your rights applies to you only if an owner agrees to it in writing (email is fine). If you don’t accept a change that’s materially worse for you, you can cancel before it applies and we’ll refund fees paid for the period after that.
20.3 We keep earlier versions of these terms, available on request.
21. General
21.1 These terms are governed by the law of state or territory. Each party submits to the non-exclusive jurisdiction of its courts and the federal courts of Australia.
21.2 Neither party is liable for a delay or failure caused by events beyond its reasonable control, but this doesn’t excuse paying fees that are due. If such an event stops us providing Monty for more than 30 days, you may end this agreement and we’ll refund fees paid for the period after that.
21.3 You may transfer this agreement only with our consent, which we won’t unreasonably refuse. We may transfer it to a related company or a buyer of our business if we tell you and your rights aren’t reduced; if you reasonably object, you may cancel under clause 16.4.
21.4 We may send notices by email to your organisation’s owners or through Monty. You may send them to support email.
21.5 This is the whole agreement about its subject. It doesn’t limit your rights under the Australian Consumer Law, or liability for misleading statements. If part of it is unenforceable, the rest continues. A right is waived only in writing.
